RETAIL LEASE AGREEMENT

ARTICLE 8 — ASSIGNMENT AND SUBLETTING

8.1 Consent Required. Tenant shall not assign this Lease or sublet all or any portion of the Premises without the prior written consent of Landlord, which consent shall not be unreasonably withheld, provided that Tenant may freely assign to any affiliate or successor entity without Landlord's consent.

ARTICLE 9 — INDEMNIFICATION

9.1 Mutual Obligations. Both parties shall act in good faith and deal fairly with each other in performing their respective obligations under this Lease and in exercising their respective rights hereunderLandlord shall act in good faith in performing its obligations under this Lease.

9.2 Tenant Indemnification. Tenant shall indemnify, defend, and hold Landlord harmless from and against any and all claims, damages, losses, and liabilities arising out of Tenant's use or occupancy of the Premises, except to the extent such claims arise from Landlord's negligencegross negligence or misconductwillful misconduct. Tenant's total indemnification liability shall not exceed Fifty Thousand Dollars ($50,000)total Base Rent payable over the remaining Term.

SHOPPING CENTER LEASE

ARTICLE 1 — BASIC LEASE PROVISIONS

1.1 Premises. Landlord hereby leases to Tenant approximately Four Thousand Two HundredTwo Thousand Four Hundred (2,400) rentable square feet located at Suite 114, Dolce Mare Shopping Center, 8200 Coastal Boulevard.

1.2 Base Rent. Tenant shall pay base rent in the amount of Forty-Two Dollars ($42.00) per square foot per annum, payable in equal monthly installments in advance.

1.3 Security Deposit. Upon execution of this Lease, Tenant shall deposit with Landlord the sum of Fifty Thousand Dollars ($500,000.00)($50,000.00) as security for Tenant's performance of its obligations hereunder.

1.4 CAM Expenses. Tenant shall pay its pro rata share of all CAM Expenses as set forth in Section 3.10.

1.5 Term. The initial term of this Lease shall be for a period of ten (15)(10) years (the "Initial Term"), commencing on the Commencement Date.

ARTICLE 2 — INDEMNIFICATION AND GOVERNING LAW

2.1 Tenant Indemnification. LandlordTenant shall indemnify, defend, and hold Landlord harmless from any and all claims, damages, losses, and liabilities arising out of or related to Tenant's use or occupancy of the Premises.

2.2 Governing Law. This Lease shall be governed by and construed in accordance with the laws of the State of DelawareFlorida, without regard to its conflicts of law principles.

ARTICLE 3 — MAINTENANCE AND REPAIRS

3.1 Structural Maintenance. TenantLandlord shall, at its sole cost and expense, maintain and repair the roof, foundation, exterior walls, and all structural elements of the Premises in good order and condition throughout the Term.
